Оферта токена MTLFEST

1. Токен MTLFEST (счёт эмиссии) фиксирует вклад импакт-инвестора в софинансирование подготовки, организации и проведения периодических публичных либертарианских публичных развлекательно-просветительских мероприятий на территории Черногории под ответственность организующего их эмитента токена MTLFEST.
2. Эмитент обязуется использовать средства получаемые от продажи указанного токена для подготовки и организации соответствующих мероприятий, публикуя по их завершению отчёты о потраченных средствах не позднее 2-х недель с завершения мероприятия.
3. Токены продаются эмитентом по фиксированной цене 1 токен за 1 EURMTL (либо его эквиваленты).
4. Удерживание более 100 токенов MTLFEST даёт держателям указанных токенов не только право совещательного голоса в профильном чате, развернутая реакция на который представителя эмитента обязательна, но также возможность, при своевременном анонсе своих пожеланий (не менее чем за 2 месяца до даты рассматриваемого мероприятия) конвертировать по согласованию с эмитентом свои токены в конкретные организационные решения тех или иных публичных мероприятий, в случае если средств импакт-инвестора для этого решения достаточно, а эмитент не ветирует данную инициативу. В случае вето эмитента, импакт-инвестор оставляет за собой право не менее чем за 1 месяц до мероприятия запросить возврат своих средств, с удержанием эмитентом 5% их объема за административные издержки.
5. Кроме того, эмитент обязуется обеспечить бессрочную (передающуюся на все последующие организуемые им в рамках данного проекта мероприятия) конвертацию токенов MTLFEST на билеты, сувенирную продукцию, аренду площадок и другие организационные возможности в рамках полного или частичного, по решению эмитента их покрытия, не гарантируя применения этой конвертации во всех случаях и в полном объеме покрытия.
6. Эмитент декларирует своё долгосрочное стремление к конвертации токенов MTLFEST в акции профильного эвент-агентства, в случае развития данного проекта до этого уровня институализации.

MTLFEST token offer

1. The MTLFEST token (emission account) fixes the contribution of the impact investor to co-financing the preparation, organization and holding of periodic public libertarian public entertainment and educational events on the territory of Montenegro under the responsibility of the issuer of the MTLFEST token organizing them.
2. The Issuer undertakes to use the funds received from the sale of the specified token for the preparation and organization of relevant events, publishing reports on the funds spent upon their completion no later than 2 weeks from the end of the event.
3. Tokens are sold by the issuer at a fixed price of 1 token for 1 EURMTL (or its equivalents).
4. Holding more than 100 MTLFEST tokens gives the holders of these tokens not only the right to an advisory vote in a profile chat, a detailed reaction to which the issuer’s representative is required, but also the opportunity, with the timely announcement of their wishes (at least 2 months before the date of the event in question), to convert with the issuer of their tokens in specific organizational decisions of certain public events, if the impact investor has enough funds for this decision, and the issuer does not veto this initiative. In the event of an issuer's veto, the impact investor reserves the right to request a refund of their funds at least 1 month before the event, with the issuer deducting 5% of their volume for administrative costs.
5. In addition, the issuer undertakes to provide an indefinite (transferable to all subsequent events organized by him within the framework of this project) conversion of MTLFEST tokens into tickets, souvenirs, rental of venues and other organizational opportunities as part of full or partial, at the discretion of the issuer, their coverage, without guaranteeing the use this conversion in all cases and in full coverage.
6. The issuer declares its long-term desire to convert MTLFEST tokens into shares of a specialized event agency, in case this project develops to this level of institutionalization.
